PAWMATIX TERMS AND CONDITIONS FOR AFFILIATES

1. INTRODUCTION AND DEFINITIONS
These Terms and Conditions ("Agreement") constitute a binding contract between PAWMATIX DPK ("Company," "We," "Us") and you, the individual or entity registering as a Merchant (Service Provider) or Affiliate Partner ("Partner," "You"). By registering on our site, you agree to be bound by these terms.
1.1 Definitions
· Merchant (Service Provider): A business entity (e.g., veterinary clinic, groomer, hotel) registered to offer services and benefits to Loyalty Card holders.
· Affiliate Partner: An independent contractor who promotes PAWMATIX products/services and refers new Users or Merchants.
· Line of Sponsorship: The structural link established when a Partner enrolls a new Partner, who then enrolls others, creating a "Downline".
· Beneficial Interest: The right to direct, control, own, or participate in the direction of a PAWMATIX Account. An individual or household may generally hold a Beneficial Interest in only one Account.
2. MERCHANT ONBOARDING (Business Partners)
This section governs Service Providers joining the ecosystem.
2.1. Registration & Contract Formation
· Application: To become a Merchant, you must complete the onboarding form, providing accurate data regarding your services and the specific benefits (discounts, free visits, etc.) offered to cardholders.
· No Automatic Contract: Submission of the form does not constitute a binding contract. A professional relationship is established only once we have reviewed and formally approved your application. We reserve the absolute right to approve or reject applications.
· Activation: Your services and offers will only become visible to the public once the "Approved" status is activated in your Merchant Dashboard.
2.2 Merchant Obligations
· Honoring Offers: You agree to provide the services and discounts exactly as described in your profile to any valid cardholder.
· Updates: Significant changes to your benefits or hours require a 14-day notice to the Company and must be updated in the portal.
· Quality Guarantee: The Merchant is solely responsible for the quality, safety, and legal compliance of the services provided. PAWMATIX is a platform and is not liable for service-level disputes.
3. AFFILIATE PARTNER ENROLLMENT & ETHICS
This section governs individuals promoting the platform.
3.1. Independent Contractor Status
Partners are independent contractors, not employees, agents, or franchisees of PAWMATIX. You are responsible for all taxes, insurance, and legal obligations in your jurisdiction. You have no authority to bind the Company to any obligation.
3.2. No Pay-to-Play (Ethical Participation)
· No Entrance Fees: Participation is 100% free. There are no "startup kits" or mandatory fees to join.
· No Rank Buying: Ranks and commission levels cannot be purchased. They are earned strictly through performance and volume requirements.
· Activity-Based: All commissions are based on the actual sale of products or services. No compensation is paid for the mere act of recruiting others.
3.3. Code of Ethics & Conduct
· Atmosphere: Partners shall show fairness, tolerance, and respect to all people, fostering a positive atmosphere of teamwork.
· Non-Disparagement: Negative, misleading, or false comments about PAWMATIX, its employees, products, or other Partners are strictly prohibited.
· One Account Rule: To prevent manipulation, a Partner (and their household) may generally only have a Beneficial Interest in one PAWMATIX Account.
4. COMPENSATION PLAN
Commissions are calculated on the net Qualifying Turnover of products and services.
4.1. Unilevel Affiliate Plan (Standard)

4.2. Influencer Plan
Designed for high-reach partners preferring a flatter structure:
· Level 1: 25%.
· Level 2 - Level 4: 2.5% each.
4.3 Merchant Referral Bonus
Partners earn a percent of the Merchant turnover.
5. PAYOUT POLICY & FINANCIAL TERMS
5.1. Payout Schedule (Request Logic)
· Manual Request: To receive funds, the Partner must initiate a "Payout Request" via their user profile.
· Timing: All valid requests made during the current month will be paid by the 15th day of the following month (e.g., a request made in January is paid by February 15th).
· Minimum Threshold: The minimum payout is $50. Balances below this amount roll over to the next month.
5.2. Verification & KYC
To comply with regulations, we require the following before releasing funds:
· Valid Government-issued ID.
· Tax Identification Number (or Company Registration).
· Valid Bank Details (IBAN/SWIFT).
· Incomplete Data: If details are incorrect, the payout will be held until the cycle following the correction.
5.3. Clawbacks and Offsets
· Clawbacks: If a customer requests a refund or initiates a chargeback, any commission previously paid to the Affiliate for that transaction will be deducted from future earnings.
· Right of Offset: PAWMATIX reserves the right to offset any amounts owed by the Partner to the Company (e.g., for products or penalties) against commissions owed to the Partner.
· Holding Payments: We reserve the right to withhold payouts if there is reasonable suspicion of fraud, "gaming" the system, or policy violations.
6. OPERATIONAL RULES & RESTRICTIONS
6.1. Anti-Manipulation & Inventory Loading
· 70% Rule: To ensure products are sold to end-users, Partners certify that they have sold or consumed at least 70% of previously purchased products before placing new orders.
· Bonus Buying Prohibited: Purchasing products solely to qualify for rank advancement or commissions, without a bona fide intent to sell or consume, is strictly prohibited and grounds for termination.
· Stacking: Enrolling non-existent individuals or manipulating the placement of new Partners to game the compensation plan is prohibited.
6.2. Advertising & Online Conduct
· Identification: In all social media and advertising, you must prominently identify yourself as an "Independent Partner" to distinguish yourself from the corporate entity.
· Prohibited Claims: You may not make medical claims (that products cure/treat disease) or misleading income claims (guaranteeing wealth or "easy money").
· Social Media: You may not use the Company’s trade name or logo as your profile picture or page name (e.g., "Official PAWMATIX Bulgaria" is prohibited).
6.3. Non-Solicitation & Conflict of Interest
· Cross-Recruiting: During the term of this Agreement, you are prohibited from soliciting other PAWMATIX Partners or Merchants to join other competing direct sales or network marketing businesses.
· Post-Termination: For 12 months following termination, you may not recruit any PAWMATIX Partner or Customer to another direct selling company.
7. TERMINATION & LEGAL
7.1. Termination
· Voluntary: You may resign at any time. Upon resignation, you forfeit all rights to your Downline and future commissions.
· Termination for Cause: PAWMATIX may terminate your account immediately for serious breaches (e.g., fraud, cross-recruiting, disparagement). In such cases, all unpaid commissions are forfeited.
· Inactivity: Accounts with no activity (sales or sponsoring) for 12 consecutive months may be terminated.
7.2. Confidentiality
Downline lists and proprietary reports provided by PAWMATIX are trade secrets. You agree to hold this information in strict confidence and not use it for any purpose other than promoting your PAWMATIX business.
7.3. Governing Law
These Terms are governed by the laws of the Republic of Bulgaria. Any disputes shall be resolved by the competent courts of Sofia, Bulgaria.
